1. Fundraising strategy
A clear and tailored strategy is essential for a successful IPO. We work with you to define your fundraising objectives, refine the amounts required and how they will be used, and estimate the value of your company. We identify the most suitable investor profiles based on their investment criteria: stage of development of the company, sector of activity, turnover, profitability, commercial traction, location, amount of funds raised and percentage of equity sought. We draw up an investment proposal incorporating financial aspects, including the amount requested, the valuation and the expected return on investment. We also discuss governance issues with you, such as representation on the board of directors, any veto rights on major decisions and the terms and conditions for exiting the capital. This proposal is designed to be sufficiently attractive to encourage investors to examine the project carefully.
The success of a fundraising round relies on thorough preparation. A complete presentation file is essential to allow an investor to make a preliminary offer. We collect and analyze all necessary documents, identify adjustments to reflect the company’s true profitability, such as restating management expenses or exceptional items, and gather the corresponding supporting documents. We prepare a detailed business plan enabling an investor to envision the opportunity and understand the intended use of funds, their expected impact on the company’s financial performance, and the anticipated return on investment. Finally, we prepare two key documents: i) the Teaser, a concise and anonymous presentation designed to generate initial investor interest, and ii) the Info Memo, a detailed file covering the business, organization, market, financial performance, use of requested funds, business plan, and investment proposal. These documents provide investors with all the information needed to assess their interest in the transaction and prepare solid offers, while minimizing repeated interactions with you.
The right investor is one who best values your company, actively contributes to your development, and offers investment terms that respect your independence. We conduct a targeted search and directly approach qualified investors, both nationally and internationally, presenting them with a clear and attractive Teaser. Once their interest is confirmed, we have them sign a confidentiality agreement (NDA) before sending and presenting the complete file. We ensure that you meet only serious, well-informed, and genuinely interested investors. Depending on the interest generated by the transaction, we can implement an auction process. This approach allows for the selection of a limited number of investors for a second round, during which their offers are adjusted, thereby intensifying competition and optimizing the fundraising terms.
Negotiations cover not only financial aspects, such as the amounts raised and valuation, but also governance and exit clauses. When an investor joins the capital, the shareholders’ agreement establishes a clear framework by defining the expectations, objectives, rights, and obligations of each shareholder. It is essential to know what can be negotiated and to understand common practices for this type of transaction. It is also common to negotiate a management plan, a mechanism that provides financial incentives to encourage the management team to achieve jointly determined objectives. We structure discussions with investors, request them to submit a preliminary offer, and negotiate each strategic point. Our goal is to secure the best possible terms while protecting your long-term interests.
Once accepted, the indicative offer generally initiates an exclusivity period during which the preferred investor incurs costs to conduct in-depth audits. These audits aim to examine in detail the financial, legal, social, and tax aspects of the company in order to validate, or if necessary, adjust the initial offer based on the information obtained. We facilitate this process by providing a secure data room containing all essential documents. We respond to additional requests from the investor and coordinate among the various stakeholders, including your internal teams, lawyers, and accountants, to ensure a controlled progression of the audits.
The signing of the final share subscription agreement and shareholders’ agreement often requires final adjustments and negotiations. In collaboration with your legal advisors, we ensure that the legal documents accurately reflect the spirit of the negotiations and review them in their entirety. Once the agreement is legally formalized, we oversee the fulfillment of any conditions precedent required to finalize the transaction and prepare the allocation of financial flows.
